By accessing or using the StackZero platform and services (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, you may not use the Service.
StackZero provides an AI-native managed service provider (MSP) platform that includes remote monitoring and management (RMM), professional services automation (PSA), autonomous AI agents for ticket triage and resolution, patch management, client portals, and related features (collectively, the "Service"). The Service is provided on a subscription basis as described in the applicable pricing plan selected by you.
To access the Service, you must create an account. You agree to:
StackZero reserves the right to suspend or terminate accounts that provide false information or violate these Terms.
The Service is offered under the subscription plans described on our pricing page. By selecting a paid plan, you authorize StackZero to charge the applicable fees to your payment method on a recurring basis.
You agree not to use the Service to:
You retain all rights to the data you input into the Service ("Your Data"), including data about your clients and their endpoints. By using the Service, you grant StackZero a limited license to process Your Data solely to provide the Service to you.
You are responsible for ensuring that you have the right to input Your Data into the Service and that doing so complies with all applicable laws, including data protection laws governing your clients' data. You represent and warrant that you have obtained all necessary consents and authorizations from your clients to process their data through the Service.
StackZero will not use Your Data for any purpose other than providing the Service, and will not sell or share Your Data with third parties except as described in our Privacy Policy.
The Service, including all software, algorithms, AI models, interfaces, documentation, and content provided by StackZero, is owned by StackZero and protected by intellectual property laws. These Terms do not grant you any rights to StackZero's intellectual property except the limited right to use the Service as described herein.
You retain ownership of any content you create using the Service. By submitting feedback, suggestions, or ideas about the Service, you grant StackZero a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without obligation to you.
The Service includes autonomous AI agents that perform actions on your managed infrastructure. You acknowledge and agree that:
StackZero targets 99.9% platform uptime, excluding scheduled maintenance windows (announced with at least 24 hours' notice) and events beyond our reasonable control. Uptime statistics are published on our status page. Service credits for downtime, if applicable, are described in the applicable service level agreement for paid plans.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. STACKZERO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
STACKZERO DOES NOT WARRANT THAT THE AI AGENTS WILL RESOLVE ALL TICKETS CORRECTLY OR THAT AUTOMATED ACTIONS WILL PRODUCE THE INTENDED RESULTS IN ALL CIRCUMSTANCES. YOU ARE RESPONSIBLE FOR VALIDATING CRITICAL ACTIONS BEFORE THEY ARE EXECUTED.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STACKZERO'S TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO STACKZERO IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100. IN NO EVENT SHALL STACKZERO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
You agree to indemnify, defend, and hold harmless StackZero and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your use of the Service, your violation of these Terms, or your violation of any rights of a third party.
Either party may terminate these Terms at any time. StackZero may suspend or terminate your access to the Service immediately, without notice, if you materially breach these Terms or if required to do so by law.
Upon termination, your right to use the Service ceases immediately. StackZero will provide you with a reasonable opportunity to export Your Data for 30 days following termination, after which Your Data will be deleted in accordance with our data retention policy.
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in any court of competent jurisdiction for matters involving intellectual property or unauthorized access to the Service.
We may update these Terms from time to time. We will notify you of material changes by email or by posting a notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
